Please read these Terms and Conditions carefully before engaging our services or using our website. By placing an order, signing a proposal, making a payment, or using lumkora.agency, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.

  1. Services

Lumkora Digital Agency provides the following services:

  • Website Design & Redesign — custom WordPress, Shopify and WooCommerce websites
  • Brand Identity & Graphic Design — logos, colour palettes, typography and brand guidelines
  • Performance, Analytics & SEO — website optimisation, Google Analytics setup and search engine optimisation
  • Advanced Integrations & Infrastructure — CRM, payment gateway, email marketing and booking system integrations
  • Website Migration — safe transfer of websites from one platform to another
  • Care Plans — ongoing website maintenance, security, updates and support

The specific services, deliverables, timelines and pricing for each project will be outlined in a written proposal or invoice provided to the client prior to commencement of work.

  1. Proposals & Agreements
  • All proposals issued by Lumkora Digital Agency are valid for 30 days from the date of issue unless otherwise stated.
  • A project is confirmed and work begins only upon receipt of the required deposit payment as outlined in Section 4.
  • Any changes to the agreed scope of work must be requested in writing and may result in additional charges and revised timelines.
  • Lumkora Digital Agency reserves the right to decline any project at its sole discretion.
  • These Terms & Conditions form part of every agreement between Lumkora Digital Agency and its clients.

  1. Payment Terms

All prices are quoted in British Pounds Sterling (GBP) and are exclusive of VAT unless otherwise stated.

Care Plans Monthly in advance Billed on the same date each month

  • Invoices are due upon receipt unless otherwise agreed in writing.
  • Late payments will incur interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.
  • Work will be paused on any project where payment becomes overdue by more than 7 days.
  • Lumkora Digital Agency reserves the right to withhold delivery of completed work until all outstanding payments have been received in full.
  • All payments are non-refundable once work has commenced on that stage of the project.

  1. Project Timeline & Delivery
  • Estimated timelines are provided in good faith and are subject to the client providing all required content, feedback and approvals on time.
  • The standard delivery timeline is 2 weeks from receipt of all content and the required deposit payment.
  • Lumkora Digital Agency will not be held responsible for delays caused by the client failing to provide content, feedback or approvals within agreed timeframes.
  • If a project is inactive for 30 days or more due to the client failing to respond or provide materials, a project restart fee of £75 will apply to resume work.
  • Rush projects requiring faster than standard delivery may incur an additional charge of up to 25% of the project value.

  1. Client Responsibilities

To ensure smooth and timely delivery of your project, the client agrees to:

  • Provide all required content — text, images, logos and other materials — within 7 working days of the deposit payment
  • Respond to requests for feedback, approvals and clarifications within 3 working days
  • Ensure all content provided is accurate, legally compliant and does not infringe any third-party intellectual property rights
  • Provide one consolidated set of revision requests per review round — not multiple rounds of piecemeal changes
  • Ensure they have the legal right to use any images, content or materials they supply to Lumkora Digital Agency
  • Maintain access to their domain, hosting and any third-party accounts required for the project

  1. Revisions & Amendments
  • Each project package includes a set number of revision rounds as outlined in the proposal.
  • A revision is defined as minor changes to existing design or content — not a change of direction or new requirements.
  • Revisions beyond the included allowance will be charged at £50 per hour.
  • Requests for significant changes to the agreed scope — including redesigns, additional pages or new features — will be treated as a separate project and quoted accordingly.
  • All revision requests must be submitted in writing via email to hello@lumkora.agency.

  1. Intellectual Property & Ownership

8.1 Client Ownership

Upon receipt of full and final payment, the client will own all intellectual property rights to the final deliverables including website design, logo, brand assets and written content specifically created for their project.

8.2 Lumkora Ownership During Project

All work produced by Lumkora Digital Agency remains the intellectual property of Lumkora Ltd until full payment has been received. We reserve the right to withhold files and transfer of ownership until all invoices are settled.

8.3 Portfolio Rights

Lumkora Digital Agency reserves the right to showcase completed work in our portfolio, on our website, and on social media unless the client requests confidentiality in writing prior to project commencement.

8.4 Third-Party Assets

Stock images, fonts, icons and plugins purchased or licensed for use in a project may be subject to their own licensing terms. The client is responsible for ensuring ongoing compliance with any such licences after project handover.

8.5 WordPress & Platform Licences

WordPress is open-source software. Shopify, WooCommerce, Elementor and other platforms used in your project are subject to their own terms of service. The client is responsible for maintaining any required licences and subscriptions after project handover.

  1. Confidentiality
  • Lumkora Digital Agency will treat all client information shared during a project as confidential and will not disclose it to third parties without written consent.
  • This includes business plans, pricing strategies, client lists, trade secrets and any other commercially sensitive information.
  • This obligation of confidentiality does not apply to information that is already publicly known or that becomes publicly known through no fault of Lumkora Digital Agency.
  • Where freelance contractors are engaged to assist with project delivery, they will be required to maintain the same level of confidentiality.

  1. Care Plans & Ongoing Services
  • Care Plans are provided on a rolling monthly basis and will continue until cancelled by either party with 30 days written notice.
  • Care Plans are billed monthly in advance on the same date each month.
  • Care Plan fees are non-refundable for the current billing period.
  • Lumkora Digital Agency reserves the right to adjust Care Plan pricing with 30 days written notice to the client.
  • Care Plans cover the services specified in the plan description — additional work outside the plan scope will be quoted separately.
  • Lumkora Digital Agency cannot guarantee 100% uptime as this is dependent on third-party hosting providers.

  1. Cancellation Policy

11.1 Cancellation by Client

  • The client may cancel a project at any time by notifying Lumkora Digital Agency in writing.
  • Any payments made prior to cancellation are non-refundable.
  • If cancellation occurs mid-project, the client will be invoiced for all work completed to date at a pro-rata rate based on the agreed project price.
  • Where the amount already paid does not cover the work completed, the client will be invoiced for the outstanding balance.

11.2 Cancellation by Lumkora Digital Agency

  • Lumkora Digital Agency reserves the right to cancel a project if the client is in breach of these Terms & Conditions.
  • In the event of cancellation by Lumkora Digital Agency without fault on the part of the client, a pro-rata refund will be issued for any work not yet completed.

  1. Liability & Disclaimers

12.1 Limitation of Liability

To the fullest extent permitted by law, Lumkora Digital Agency’s total liability to the client for any claim arising from or in connection with our services shall not exceed the total amount paid by the client for the specific project or service giving rise to the claim.

12.2 No Guarantee of Results

Lumkora Digital Agency does not guarantee specific results from SEO, digital marketing or any other service. Search engine rankings, website traffic and conversion rates are influenced by many factors outside our control including changes to search engine algorithms and market conditions.

12.3 Third-Party Services

Lumkora Digital Agency is not responsible for the performance, availability or pricing of third-party services including hosting providers, domain registrars, payment gateways, CRM platforms and social media networks. We will endeavour to recommend reliable third-party services but cannot be held liable for any failures or changes in their service.

12.4 Website Downtime

Lumkora Digital Agency is not responsible for website downtime caused by hosting provider issues, server outages, domain expiry or any other factors outside our direct control.

12.5 Client Content

The client is solely responsible for the accuracy, legality and appropriateness of all content provided to Lumkora Digital Agency. We are not liable for any claims arising from client-supplied content including copyright infringement, defamation or inaccurate information.

  1. Website & Content Accuracy
  • The client is responsible for proofreading and approving all content before the website goes live.
  • Lumkora Digital Agency will correct any errors introduced by us during the build process at no charge.
  • Errors in client-supplied content that are identified after the website has gone live will be corrected at the standard hourly rate of £50 per hour.
  • Lumkora Digital Agency reserves the right to decline to publish content that is unlawful, defamatory, offensive or in breach of any third-party rights.

  1. Domain Names & Hosting
  • Where Lumkora Digital Agency purchases a domain name or hosting on behalf of a client, the client will be billed for the cost plus an administration fee.
  • Ownership of domain names purchased on behalf of a client will be transferred to the client upon full payment of all outstanding invoices.
  • The client is responsible for renewing their domain name and hosting upon expiry. Lumkora Digital Agency will endeavour to provide advance notice but is not responsible for service disruption caused by expiry.
  • Lumkora Digital Agency does not provide hosting as a standard service. Hosting recommendations will be provided but the client is responsible for managing their own hosting account.

  1. Governing Law & Disputes
  • These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales.
  • Any disputes arising from or in connection with these Terms & Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
  • In the event of a dispute, both parties agree to attempt to resolve the matter amicably through direct communication before initiating any legal proceedings.
  • Lumkora Digital Agency reserves the right to pursue outstanding debts through the UK courts or a debt recovery service.

  1. Changes to These Terms
  • Lumkora Digital Agency reserves the right to update these Terms & Conditions at any time.
  • Changes will be posted on lumkora.agency/terms-and-conditions with an updated effective date.
  • Continued use of our services after changes are posted constitutes acceptance of the updated Terms & Conditions.
  • For existing clients, material changes to these Terms will be communicated by email with 30 days notice.
